Terms of Service
Effective date November 5, 2026
These Terms of Service are an agreement between you and Quantx at 4805 Green Belt Dr, Cedar Falls, IA 50613 ("Quantx," "we," "us," or "our"). They govern your access to our websites, applications, AI features, APIs, and mesh services identified at getquantx.com (the "Services"). Contact us at support@getquantx.com or (607) 542-0486.
1. Agreement and eligibility
You accept these Terms through the acceptance step presented when registering, installing an application, or activating a covered feature. Browsing a public page alone does not authorize device contribution, recurring charges, or optional personal-data processing. If you do not agree, do not create an account or use features requiring acceptance.
You must be at least 18 and legally able to enter this agreement. Do not use the Services where prohibited. If you accept for an organization, you confirm that you have authority to bind it. Your organization may have additional responsibilities under a separate business agreement.
2. Documents and order of precedence
Our Privacy Policy explains personal-data practices; it is a notice rather than an unlimited license to use personal data. The Acceptable Use Policy, Mesh Participation Terms, and Subscription and Refund Policy form part of this agreement for the features they cover. The AI Transparency Notice describes material limitations. Separate beta terms apply when you join a beta. Hardware purchase terms apply only if you actually purchase hardware under an accepted order.
A signed business agreement controls a direct conflict within its scope, followed by an applicable data processing addendum for personal-data processing, feature-specific terms, and these Terms. Mandatory consumer and privacy law always takes priority. A product interface cannot silently expand a content license or override a signed data restriction.
3. Accounts and organizations
Provide accurate registration information and maintain reasonable protection for your account, credentials, and API keys. Do not share personal credentials or impersonate another person. Notify support@getquantx.com promptly if you suspect unauthorized access. We may use proportionate verification to restore access or protect an account.
If an employer or other organization provides your workspace, its administrators may manage membership, integrations, access, and workspace content as described during enrollment. Moving a personal account into an organization requires notice of the resulting administrative access. Do not submit information you are not authorized to disclose to your organization.
4. The Services and product availability
Quantx provides AI-related software and supported computing features. Features vary by device, operating system, model, location, account type, and release. Public roadmaps, concept images, research scenarios, and proposed Quantx Go or Quantx OS specifications describe development intentions and are not current product specifications or delivery guarantees.
We may update the Services to address security, compatibility, law, or product changes. If we remove a material paid feature without an adequate replacement, we will provide notice where practicable and the cancellation or refund rights required by law and the applicable order. We do not promise uninterrupted access, a particular model, a fixed response time, or unlimited capacity unless an applicable written offer expressly provides it.
5. Local and network processing
Some supported processing occurs on your device. Other processing may use your connected devices, approved or community nodes, infrastructure providers, or external AI services, depending on the feature and disclosures presented to you. Local software may still communicate for authentication, updates, billing, or disclosed diagnostics. A local-processing claim applies to the identified workload, not automatically to every aspect of the product.
The Mesh Participation Terms describe contribution and remote processing. Mesh features require affirmative enrollment after a clear resource-use notice. Acceptance of these Terms does not by itself grant permission to access your microphone, contacts, entire file system, or unrelated device data. Required platform permissions and additional disclosures still apply.
6. Your content
"Input" includes prompts, files, recordings, instructions, and other material you submit or authorize the Services to access. "Output" is content the Services generate in response. Together they are "Your Content." You retain your existing rights in Input. As between you and Quantx, and to the extent permitted by law, we assign to you any rights we have in Output generated for your account. This does not grant rights belonging to others or establish that Output qualifies for copyright protection. Other users may receive similar Output.
You grant us a nonexclusive, worldwide, limited license to process Your Content only as reasonably necessary to provide requested Services, operate the disclosed routing, maintain security, comply with law, and perform other purposes specifically disclosed in the Privacy Policy and authorized where required. This license lasts only as needed for those purposes, including the disclosed retention period. Public sharing requires a separate publishing action; submission to a private session is not permission to publish your material.
Using Your Content to train or improve general-purpose models is governed by the actual training practice disclosed in the Privacy Policy and any separate permission presented to you. These Terms do not independently authorize that use. Private business content is also subject to the applicable business agreement and data processing addendum.
You must have the rights and lawful basis needed for the material and instructions you submit. Do not submit third-party confidential information, personal data, or licensed material where the intended processing would violate your obligations. Tell us about suspected infringement through the Copyright and Intellectual Property Policy.
7. AI limitations and external actions
AI can make factual, reasoning, coding, and attribution errors. Output may be incomplete, outdated, offensive, or unsuitable. Review important Output and verify sources before relying on it. AI responses are not a substitute for qualified medical, legal, financial, or other professional judgment, and the Services are not an emergency response system.
Where agent or integration features are available, you are responsible for selecting lawful objectives and reviewing the permissions and confirmation steps. Authorization for one task does not automatically authorize every future external action. Material actions such as sending communications, making purchases, modifying access, or deleting files must follow the permissions and approval controls shown for that feature. Do not grant permissions broader than you intend. Stopping a task may not reverse an action already completed by an external service.
8. Acceptable use and third-party services
Follow our Acceptable Use Policy. Do not disrupt the Services, attack other devices, harvest personal data, bypass security or usage controls, distribute unlawful content, or misrepresent the origin or reliability of AI Output.
Third-party models, websites, operating systems, app stores, integrations, and open-source components may have their own terms. We identify applicable third-party notices where required. We do not claim ownership of third-party content, and statutory or open-source permissions are not restricted by this agreement. An OpenAI-compatible API describes interface compatibility and does not imply endorsement or affiliation.
9. Fees and subscriptions
Charges, billing interval, included usage, usage rates, taxes, renewal terms, and cancellation method must be disclosed before purchase. Recurring billing requires express informed authorization at checkout. A stored payment method alone is not permission to start a new subscription or automatically replenish credits.
The Subscription and Refund Policy applies to purchases made directly from us. App-store purchases use the applicable store billing and cancellation process, subject to mandatory rights. Prototype pricing, illustrative financial models, and research revenue projections are not commercial offers. Contributing device capacity does not entitle you to payment or credits unless a separate written program expressly provides them.
10. Software license and updates
Subject to these Terms, we grant you a limited, nonexclusive, nontransferable license to install and use the software we provide for its documented purposes. Do not sell our software as your own, remove required notices, or reverse engineer it except where law or an applicable open-source license permits. This does not prohibit lawful security research, interoperability, or other protected activities.
Some security or compatibility updates may be required to remain connected. We will disclose material changes and any restart or data impact where practicable. Updates do not authorize new categories of personal-data use or broader device access without required notice and permission.
11. Our intellectual property and feedback
We and our licensors retain rights in our software, marks, and original materials. You may use them only as permitted by these Terms, applicable licenses, or written permission. You may submit suggestions; you grant us a nonexclusive right to use voluntarily submitted feedback without payment, excluding Your Content and confidential information not intended as feedback. Nothing transfers ownership of your unrelated inventions or business materials.
12. Suspension termination and data access
You may stop using the Services and request account deletion through the published process. Subscription cancellation, account deletion, and disconnecting a mesh node are different actions; we explain their effects before completion.
We may restrict features or suspend access for a material breach, credible security threat, legal obligation, or substantial risk to others. Restrictions should be proportionate to the issue. Except where immediate action is needed or notice is legally prohibited, we will explain the reason and provide an opportunity to appeal at support@getquantx.com. We may close a discontinued service with reasonable notice where practicable.
Termination ends your permission to use affected Services but does not erase accrued charges or mandatory rights. Content export, deletion, and retention follow the Privacy Policy and applicable business terms. We will not require payment of an unrelated disputed amount merely to receive a statutory privacy response.
13. Warranties
To the maximum extent permitted by law, the Services are provided as available without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. We do not warrant that all Output is accurate or that network capacity is always available. These limitations do not exclude an express written warranty, mandatory consumer guarantees, our duty to perform with legally required care, or obligations that cannot lawfully be disclaimed. Hardware has separate applicable warranty terms.
14. Liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential losses that were not reasonably foreseeable when this agreement was made. Subject to the exceptions below, our aggregate liability arising from these Terms is limited to the greater of US $100 and the amount you paid us for the affected Services during the 12 months before the event giving rise to the claim.
The exclusions and cap do not apply to fraud, willful misconduct, gross negligence where exclusion is prohibited, death or personal injury caused by negligence where protected by law, statutory privacy remedies that cannot be limited, or other nonwaivable liabilities. They do not eliminate required refunds or a party's obligation to pay undisputed charges. Consumer rights and jurisdiction-specific protections remain intact. A separate negotiated business agreement may allocate liability differently.
15. Business indemnity
This section applies only to business users acting in a commercial capacity, not consumers. Subject to applicable law, a business customer will defend Quantx against a third-party claim caused by that customer's unlawful Input, unauthorized use of third-party data, or material breach of the Acceptable Use Policy, and pay amounts finally awarded or agreed in a settlement the customer approves. This does not cover a claim caused by our breach, negligence, or unauthorized processing. We must give prompt notice, reasonable assistance, and control of the defense to the customer; no settlement may admit our fault or impose nonmonetary obligations on us without consent.
16. Disputes and governing law
Contact support@getquantx.com or (607) 542-0486 to attempt informal resolution. This does not delay limitation periods or prevent urgent relief. Subject to mandatory law, these Terms are governed by the law of the State of Iowa, and courts located in Black Hawk County, Iowa have jurisdiction. Consumers retain mandatory protections and the right to bring claims in courts required by their local law. These Terms do not impose arbitration or a class-action waiver.
17. General provisions and changes
We will give reasonable advance notice of material changes where practicable, identify an effective date, and obtain renewed agreement where required. Changes do not retroactively authorize broader use of previously collected personal data. If you reject a material change, you may stop using the affected Services and exercise applicable cancellation and refund rights.
Neither party may assign this agreement in a way that reduces mandatory rights; we may transfer it in a lawful corporate transaction subject to continuing obligations and required notice. If a provision is unenforceable, the remaining provisions continue to the extent legally possible. Failure to enforce a term is not a waiver. Neither party is responsible for delay caused by events outside its reasonable control, except payment, security, and consumer obligations that law does not excuse. These Terms and incorporated agreements form the agreement for their subject matter. Notices may be delivered to the account contact or other legally valid address.
18. Apple distribution supplement
If you obtain an app through Apple, this agreement is between you and Quantx, not Apple. Apple is not responsible for the app or its content and has no obligation to provide maintenance or support. Any refund for a failure to conform to an applicable warranty follows Apple's applicable rules and mandatory law. Quantx, rather than Apple, addresses product claims and intellectual-property claims within its responsibility. Your license is limited to Apple-branded products you own or control as permitted by Apple's usage rules, including applicable family-sharing or volume-purchase rules. You must comply with applicable third-party agreements and export laws. Apple and its subsidiaries are third-party beneficiaries of this supplement and may enforce it. Quantx contact information appears at the start of these Terms.
